If a local operator desires to operate a full-time, 24/7, channel then StogTv offers them the chance to be part of the StogTv network with partial ownership and management duties. StogTv Network will be created along lines used by some newspaper chains where each site is pretty much autonomous in the selection of content but focusing on as much as possible on that which is based on local activities or at least locally produced material. This can range from BLAB-TV style ‘self-hosted’ shows to Searcy, Arkansas’s Little League coverage. Local churches are prospects for Sunday mornings. StogTv will establish each site as an LLC and retain 51% of ownership. This is needed to be able to have the final say on the operation, especially in the event local management takes off in a direction which is felt to be detrimental to the overall goals of being basically local weekly TV news magazines edited along weekly newspaper lines. This also satisfies ownership for insurance purposes. (It can be less than 51% of profits after ‘bonuses’.) StogTv will negotiate all access and contract for time slots. The local LLC will in turn pay this but with StogTv getting a small surcharge on all time used. StogTv will also sign off on local rates and each site will use the prescribed ‘bulk’ rate schedule as well as for traditional spot commercials. Each local manager will be able to acquire up to 25% of the equity, either by earning it at a predetermined weekly figure for management and/or by contributing to the basic equipment. Each site will need an editing system common with others, two cameras and lights, etc. sufficient for a basic taping. Each site would be set up to deliver remote feeds. Site valuation is determined by a formula using airtime rates and projected as being in operation 24 hours, seven days a week and meeting the pro-forma. A ‘rule of thumb’ for determining the value of a site would be to determine the number of subscribers on the system and then multiply one-half this figure by 12. For example, Natchez, Ms. has 12,900 subscribers. The ‘rule of thumb’ value of this site would then be $75-80,000.
